All ZDFZ entities are required to submit annual reports and filings to maintain good standing. These requirements ensure transparency, accountability, and ongoing compliance with Free Zone regulations.

Simplified Reporting

ZDFZ offers streamlined digital reporting through the resident portal. Most filings can be completed online in minutes with automatic validation and confirmation.

Annual Filing Requirements

For Digital Residents

  • Annual Renewal Declaration - Confirm continued residency and update personal information.
  • Contact Update - Verify current email, phone, and address.
  • Activity Summary - Brief overview of digital activities during the year.

For Companies (FZCO/FZLLC)

  • Annual Return - Confirmation of company details, directors, and shareholders.
  • Financial Statements - Audited or reviewed financial statements.
  • Beneficial Ownership Declaration - Updated UBO information.
  • Tax Status Certificate - Declaration of 0% tax status eligibility.
  • Registered Agent Confirmation - If applicable.

For Cooperatives

  • Annual Return - Cooperative details and board composition.
  • Financial Statements - Audited financials with member equity details.
  • Member Registry Update - Current member count and classes.
  • AGM Minutes - Summary of annual general meeting.
  • Patronage Distribution Report - If profits were distributed.

Small Entities

Revenue under $500,000 annually

Large Entities

Revenue over $2,000,000

Late Filing Consequences

⚠️ Failure to File on Time

  • 1-30 days late: Late fee applied (see table above)
  • 31-60 days late: Double late fee + warning notice
  • 61-90 days late: Suspension of entity status
  • 90+ days late: Strike-off proceedings may commence

Reinstatement

If your entity has been suspended, you can apply for reinstatement:

  • 1. Submit all overdue filings - Complete all outstanding annual returns and documents.
  • 2. Pay all fees - Filing fees + late fees + reinstatement fee ($250-$500).
  • 3. Provide explanation - Brief explanation of circumstances.
  • 4. Review period - 5-10 business days for reinstatement processing.
